PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE WORKER CHOWK APPLICATION. BY DOWNLOADING, INSTALLING, REGISTERING FOR, OR USING THIS APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE APPLICATION.

1. Definitions

For the purposes of these Terms and Conditions, the following terms shall have the meanings ascribed to them below:

2. Acceptance of Terms

2.1 Binding Agreement

These Terms and Conditions ("Terms") constitute a legally binding contract between you and Vishx Innovations (OPC) Private Limited governing your use of the Worker Chowk Application and all associated Services. By accessing or using the App in any manner, you unconditionally accept and agree to be bound by these Terms.

2.2 Capacity to Contract

By accepting these Terms, you represent and warrant that you are at least 18 years of age and possess the legal capacity and authority to enter into binding contracts under the laws of India. If you are using the App on behalf of a business entity, you represent that you are duly authorised to bind that entity to these Terms.

2.3 Acceptance on Behalf of an Organisation

If you accept these Terms on behalf of a company, partnership, sole proprietorship, or other legal entity, you represent that you have the full legal authority to do so. In such case, the term 'User' shall also refer to that entity, and you and the entity shall be jointly and severally liable for compliance with these Terms.

3. Description of Services

Worker Chowk is a comprehensive labour management platform designed for contractors, site supervisors, and business owners who manage daily wage workers. The Application provides, among other things, the following Services:

The Company reserves the right to add, modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice, and without liability to you.

4. User Accounts and Registration

4.1 Account Creation

To access certain features of the Application, you may be required to create an Account by providing accurate, current, and complete information. You agree to maintain and promptly update your Account information to keep it accurate and current.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to:

The Company shall not be liable for any loss, damage, or liability arising from your failure to comply with the security obligations set out above. You acknowledge that you are fully responsible for all activities conducted through your Account, whether or not authorised by you.

4.4 One Account Per User

Each User may maintain only one active Account. Creating multiple Accounts for the purpose of circumventing restrictions, bans, or other limitations imposed by the Company is strictly prohibited and will result in termination of all associated Accounts.

5. Permitted Use and Restrictions

5.1 Permitted Use

Subject to your compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Application solely for lawful workforce management and labour recordkeeping purposes.

Important: The Company may share, license, or sell certain data - including aggregated, anonymised, or pseudonymised data derived from your use of the Application and the Worker Data you enter - to Third Parties, to the extent permitted by applicable Indian law, including the Digital Personal Data Protection Act, 2023 (DPDPA), and any other relevant legislation.

Specifically, the Company may share data with Third Parties for the following purposes and under the following conditions:

The Company shall take reasonable measures to ensure that any Third Party receiving data is bound by appropriate confidentiality and data protection obligations. However, the Company does not guarantee the data practices of Third Parties and shall not be liable for any breach, misuse, or damage caused by such parties once data is shared in accordance with these Terms.

6.4 Data Storage and Infrastructure

All data collected and generated through the Application is stored on infrastructure provided by reputable third-party cloud service providers who maintain internationally recognised security standards and certifications. By using the App, you acknowledge and consent to your data being stored on servers that may be located in jurisdictions outside India. The Company implements reasonable technical and organisational safeguards to protect data against unauthorised access, disclosure, alteration, or destruction.

6.5 User Responsibilities as Data Controller

Where you collect and upload Worker Data through the Application, you act as a data controller or data fiduciary under applicable Indian data protection law. You are solely responsible for:

The Company shall not be liable for any violation of data protection law arising from your failure to comply with these responsibilities.

6.6 Data Retention

The Company retains User and Worker Data for as long as your Account remains active, or as necessary to fulfil the purposes described in these Terms, or as required by applicable law. Upon Account deletion, we will take reasonable steps to delete or anonymise your data within a reasonable period, except where retention is required by law.

7. Location Data

The Application may request access to your device's location (GPS) data to enable site-based attendance verification and workforce tracking features. By granting location access, you consent to the collection, processing, and storage of your location data as described in these Terms and our Privacy Policy.

You may withdraw location access at any time through your device settings. However, withdrawal of location access may result in certain features of the Application being unavailable or functioning in a limited capacity. The Company is not responsible for any loss of functionality resulting from the withdrawal of location permissions.

8. Communications, Notifications, and Direct Contact

8.1 Consent to Receive Communications

By registering for an Account or using the Application, you expressly consent to receive communications from Vishx Innovations (OPC) Private Limited through any and all of the following channels:

Vishx Innovations (OPC) Private Limited and its authorised representatives or service partners may contact you by telephone for purposes including customer support, account verification, onboarding assistance, feedback collection, or promotional outreach. By using the App, you consent to receiving such calls, including automated calls, from the Company or its authorised agents.

8.4 Opting Out

You may opt out of promotional SMS messages or marketing emails at any time by following the unsubscribe instructions included in the communication, or by contacting us at info@vishx.com. However, you acknowledge that you cannot opt out of receiving transactional, operational, or legally required communications for as long as you maintain an active Account.

8.5 TRAI and DND Compliance

The Company complies with the regulations of the Telecom Regulatory Authority of India (TRAI) and the National Do Not Disturb (DND) registry to the extent required by law. However, transactional messages that are necessary for the operation of your Account are exempt from DND restrictions under applicable TRAI guidelines.

9. Intellectual Property Rights

9.1 Ownership by the Company

All intellectual property rights in and to the Application, including but not limited to the following, are exclusively owned by Vishx Innovations (OPC) Private Limited and are protected under applicable Indian and international intellectual property laws:

No right, title, or interest in any intellectual property of Vishx Innovations (OPC) Private Limited is transferred to you by virtue of these Terms or your use of the Application.

9.2 Design Rights

All visual designs, graphical assets, user interface layouts, screen designs, and other design works incorporated in or created for the Worker Chowk Application are the exclusive property of Vishx Innovations (OPC) Private Limited. These designs are protected under the Designs Act, 2000, the Copyright Act, 1957, and other applicable intellectual property legislation. Any reproduction, adaptation, distribution, or commercial use of these designs without prior written authorisation from Vishx Innovations (OPC) Private Limited is strictly prohibited and may result in civil and criminal liability.

9.3 Licence to Use

Subject to your compliance with these Terms, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Application solely for its intended purpose. This licence does not include any right to:

Any data, content, or information you upload or enter into the Application (including Worker Data) remains your responsibility. By uploading such content, you grant the Company a worldwide, royalty-free, non-exclusive licence to use, store, process, and share that content as necessary to provide the Services and as described in Section 6.3 of these Terms.

9.5 Feedback

If you provide any suggestions, ideas, feedback, or recommendations regarding the Application, the Company shall be free to use, implement, and commercialise such feedback without any obligation to compensate you or attribute the feedback to you.

10. Pricing, Subscription, and Billing

10.1 Current Pricing

The Application is currently available to Users free of charge. Access to the basic features of the Application does not require any payment at this time.

10.2 Introduction of Paid Plans

The Company reserves the right, at its sole discretion, to introduce paid subscription plans, premium features, one-time purchase options, or in-app transactions at any future date. The Company further reserves the right to transition currently free features into paid offerings.

10.3 Notice of Pricing Changes

Before introducing any paid plans or making previously free features subject to payment, the Company will provide advance notice to Users through one or more of the following channels:

Continued use of the Application after the effective date of any pricing change constitutes your acceptance of the new pricing model.

10.4 No Automatic Charges

The Company will not automatically charge your payment method for any paid plan or subscription without your explicit affirmative consent. Any subscription or paid plan will require your active opt-in through the Application.

10.5 Taxes

All prices, where applicable, are exclusive of applicable taxes, levies, and duties, including Goods and Services Tax (GST) under Indian law. You are responsible for the payment of all applicable taxes in connection with your use of paid features.

11. Access Revocation, Suspension, and Termination

11.1 Right to Revoke Access

Vishx Innovations (OPC) Private Limited reserves the absolute and unconditional right to suspend, restrict, revoke, or permanently terminate any User's access to the Application and all associated Services, at any time and at its sole discretion, with or without prior notice, and without any liability to the User. This right may be exercised in any of the following circumstances:

If you believe that your Account has been suspended or terminated in error, you may submit a written appeal to info@vishx.com within 30 days of receiving notice of the action. The Company will review appeals at its sole discretion and its decision shall be final.

11.4 Voluntary Termination by User

You may terminate your Account at any time by contacting the Company at info@vishx.com or using the account deletion feature within the Application, if available. Upon voluntary termination, the provisions of Section 11.2 above shall apply.

12. Amendments and Modifications to Terms and Conditions

12.1 Right to Amend

Vishx Innovations (OPC) Private Limited reserves the right to amend, revise, update, supplement, or replace these Terms and Conditions at any time and for any reason, at its sole and absolute discretion. There is no limitation on the Company's right to modify these Terms, except as required by applicable Indian law.

12.2 Notification of Changes

When the Company makes material changes to these Terms, it will communicate such changes to Users through one or more of the following methods, as may be required by applicable law:

For changes that are required by applicable law, the Company will provide such notice as is mandated by that law. For non-material changes, the Company may update the Terms without specific notification, and it is your responsibility to review the Terms periodically.

12.3 Acceptance of Amended Terms

Your continued access to or use of the Application after the effective date of any amended Terms constitutes your unconditional acceptance of those amended Terms. If you do not agree to any amended Terms, you must immediately cease using the Application and may request deletion of your Account.

12.4 Version History

The Company will maintain a record of the effective date and version number of each iteration of these Terms. Previous versions of the Terms will be superseded in their entirety upon the publication of an updated version, unless otherwise stated.

13. Jurisdiction and Governing Law

13.1 Governing Law

These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation, shall be governed by and construed exclusively in accordance with the laws of the Republic of India. The applicable legal framework includes, but is not limited to:

Subject to Section 13.3 below, you irrevocably submit to the exclusive jurisdiction of the courts located in the city where Vishx Innovations (OPC) Private Limited has its registered office in India, for the resolution of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Application. You hereby waive any objection to the exercise of jurisdiction by such courts on grounds of inconvenient forum or otherwise.

13.3 Dispute Resolution

In the event of any dispute between you and the Company arising out of or in connection with these Terms or the Application, the parties agree to follow this dispute resolution process:

13.4 Cross-Border Use

The Application is developed and operated in India. If you access or use the Application from outside India, you do so at your own risk and are responsible for compliance with the laws of your local jurisdiction. The Company makes no representations that the Application is appropriate or lawful for use in any jurisdiction outside India.

14. Labour Law Compliance

Worker Chowk is a digital recordkeeping and workforce management tool. The Company does not act as an employer, co-employer, or labour contractor with respect to any Worker whose data is managed through the Application.

You are solely responsible for ensuring that your employment practices, worker payments, attendance policies, and recordkeeping comply with all applicable Indian labour and employment laws, including without limitation:

The Company expressly disclaims all responsibility and liability for any violation of labour laws arising from your use of the Application.

15. Disclaimer of Warranties

THE APPLICATION AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INDIAN LAW, VISHX INNOVATIONS (OPC) PRIVATE LIMITED EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

No advice or information, whether oral or written, obtained from the Company shall create any warranty not expressly stated in these Terms.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE INDIAN LAW, IN NO EVENT SHALL VISHX INNOVATIONS (OPC) PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

In all cases, the Company's aggregate liability to you for any claims arising under or in connection with these Terms or your use of the Application shall not exceed the total amount you have paid (if any) to the Company in the twelve (12) months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Vishx Innovations (OPC) Private Limited and its directors, officers, employees, agents, partners, licensors, and successors from and against any and all claims, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:

The Company shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, pandemics, power failures, internet or telecommunications outages, cyberattacks, or third-party service disruptions (including disruptions to cloud infrastructure or hosting services).

19. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected by the invalidity of the severed provision.

20. Waiver

No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise of that right, power, or privilege. A waiver of any breach of these Terms shall not be construed as a waiver of any subsequent breach.

21. Entire Agreement

These Terms and Conditions, together with the Privacy Policy of Worker Chowk (as updated from time to time), constitute the entire and exclusive agreement between you and Vishx Innovations (OPC) Private Limited with respect to the Application and the Services, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.
